Art Mesher

Chairman

Art Mesher is a pioneer in harnessing the integration of business communities and is considered one of the founders of SaaS networks and cloud computing. Mesher began building SaaS-based technology to automate freight processes in the 1980s and helped start and grow Vocam Systems, a logistics network software company which went public before being acquired by Pitney Bowes in 1990. Subsequently, Mesher was President of Advanced Logistics Research, where he helped leading companies such as AMR (Sabre), CSX and Caterpillar develop and deploy emerging technology-based supply-chain strategies. He also launched the Integrated Logistics Strategies Services practice at Gartner Group Inc., a leading technology research, and advisory firm, and built it into one of the premiere advisors to major global corporations. Art is currently the Chancellor of CleanSL8.DNA and the Chairman of the Board of The Core Group. He also sits on the Board of Directors for QHR Corporation, Nulogy, and Difference Capital Financial Inc.

More recently, Art was the CEO and Chairman of the board of The Descartes Systems Group Inc., leading the creation of the first on-demand logistics network that provides application and communication capabilities. Appointed CEO in 2004, he spearheaded the company’s turnaround from large losses to awarding-winning accolades and financial performance. During his tenure, Descartes was awarded Best Canadian Corporation (from Canadian Business magazine) and Best Business Turnaround (International Business Awards) in 2006, along with winning one of Canada’s 10 Most Admired Corporate Cultures (from Waterstone Human Capital) in 2012. Most notably, Art was selected as the Council of Supply Chain Management Professional’s (CSCMP) 2008 Distinguished Service Award recipient.

Brian Kyle

Director

Brian Kyle is the former Chief Financial Officer for Davis + Henderson Corporation, a leading solutions provider to the financial services marketplace. Prior to joining Davis + Henderson, Brian had twenty years of finance experience working with companies such as Teranet Income Fund, Cott Corporation, and CAE Inc. Brian’s educational background includes an MBA from Queen’s University and an Honorary Doctorate of Laws from the University of Windsor. Brian is a Certified Management Accountant (CMA).

Craig O’Neill

Director

Prior to joining VersaPay, Craig was the co-founder and CEO of Xeye and the driving force behind its flagship WealthManager product. In this role, Craig directed the company’s growth of over 40% per year and ultimate sale to Odyssey Financial Technologies. Subsequent to the sale of Xeye, Craig remained with Odyssey as President of Odyssey Financial Technologies, North America and SVP of Corporate Development. After the sale of Odyssey to the Temenos Group, Craig became SVP WealthManager Strategy and Development.

Craig has a Bachelor of Science in Computer Science, Math, and Economics from the University of Toronto.

Eleanor Chiu

Director

Eleanor brings more than twenty years of financial and accounting expertise to the board of VersaPay. She has been the Chief Financial Officer of Trico Developments Corp. and Trico Homes since 1998. Prior to that, she was with Nova Corporation of Alberta from 1990 to 1998, reaching the position of Senior Financial Accountant. She has sat on the Board of Governors of Mount Royal University since 2011. Ms. Chiu has been a Chartered Accountant since 1990 and began her career at KPMG. She also holds a Bachelor of Commerce from the University of Calgary.

The Honourable David Peterson

Director

David Peterson is a former Premier of Ontario and a director of several public companies, including Rogers Communications Inc. and Shoppers Drug Mart, David Peterson practices corporate / commercial law at the Toronto law firm of Cassels Brock & Blackwell LLP. He is chancellor of the University of Toronto, a director of St. Michael’s Hospital, and is active with a number of charitable, educational and environmental organizations. Mr. Peterson has been appointed a Knight of the Order of the Legion of Honour of France, received the Ordre de la Pléiade from the International Assembly of French-Speaking Parliamentarians, and was inducted into the Order of Ontario in 2009.

Wendy Porter

Director

Wendy has deep experience in the payments industry, playing a lead role in creating Moneris Solutions – Canada’s largest credit card acquiring company. In addition, Wendy was President of Vital Merchant Services (now TSYS Acquiring Solutions), and oversaw Harris Bank’s payment acquiring division in Chicago. Ms. Porter spent most of her career with then Bank of Montreal in various executive roles in Corporate Marketing, Information Technology, and Electronic Payments. As Senior Vice President, Merchant Acquiring, she managed the credit card and debit card acquiring business.

In 2000, she conceived the strategy of a combined MasterCard and Visa payment solutions company and was responsible for spinning off Bank of Montreal’s acquiring division and merging it with Royal Bank’s division to create Moneris Solutions. She has served on a variety of business and not for profit boards including payment industry boards and Global Committees for the Interac Association and MasterCard. Ms. Porter holds a BA from York University and an MBA degree from the Schulich Business School at York University. She also holds the ICD.D designation from the Institute of Corporate Directors.

Tim Stanley

Director

Tim Stanley, SVP & Country Manager of BackOffice Associates Canada, continues to be recognized as an industry expert in Enterprise Software, Cloud Applications, and Data Management. During his leadership tenure with Informatica from 1999 to 2008, he was involved in over 100 major Technology projects across Canada’s largest companies. Over his career, Tim has worked with senior IT and Business executives as an advisor or supplier of Enterprise software solutions. Tim founded Broadstreet Data in 2008, a boutique consultancy offering complex Data Management and Analytic Solutions for major North American companies. After Broadstreet Data was acquired by NexJ Systems in 2012, Tim joined the Senior Leadership Team of CPM start-up Vena Solutions to drive growth in Consulting Services. Prior to joining Versapay, Tim had been a Board Member of Symbility Solutions and held Advisory Board roles for Cortex Business Solutions and Giftagram. Tim holds an MBA from The Richard Ivey School of Business.
